Volunteer Code of Conduct, Conflict of Interest & Confidentiality Agreement

 

  1. Code of Conduct

Volunteers of Volunteer Airdrie are expected to comply with this Code of Conduct, Conflict of Interest & Confidentiality Agreement (“this Agreement”) to develop a spirit of shared ownership of and respect for the values of Volunteer Airdrie.

 

As a volunteer of Volunteer Airdrie, I declare that, in carrying out my duties, I will:

  1. Fulfill my responsibilities in good faith, with due diligence and in the best interest of Volunteer Airdrie;
  2. Support the vision, mission, objectives and values of Volunteer Airdrie;
  3. Not exert any individual authority or personal interest over Volunteer Airdrie except as stated in Volunteer Airdrie’s policies;
  4. Not speak on behalf of Volunteer Airdrie to staff, public, media and other entities unless granted the authority by the Board;
  5. Respect and give fair consideration to diverse and opposing viewpoints;
  6. Demonstrate due diligence and dedication in preparation for and attendance at meetings, special events and all other activities on behalf of Volunteer Airdrie;
  7. Demonstrate prudent judgment, honesty, transparency and openness in all activities carried-out on behalf of Volunteer Airdrie;
  8. Keep confidential all information that I learn about member organizations, staff, clients, other volunteers and any other matters relating to my involvement with Volunteer Airdrie. Confidentiality means volunteers may not relate such matters to anyone, including immediate family members. The duty of confidentiality continues indefinitely after a volunteer has resigned and left Volunteer Airdrie.
  9. Conform with the Bylaws and policies approved by the Board;
  10.  Publicly demonstrate acceptance, respect and support for decisions legitimately taken in transaction of Volunteer Airdrie’s business; and
  11.  Immediately resign my position as a volunteer of Volunteer Airdrie in the event that I, or the Board of Directors have concluded that I have breached this Agreement.

 

  1. Conflict of Interest

Volunteers are considered to be in a conflict of interest whenever they, members of their family, business partners or close personal associates, may personally benefit either directly or indirectly, financially or otherwise, from their position with Volunteer Airdrie. A conflict of interest may be ‘real’, ‘potential’ or ‘perceived’. The same duty to disclose applies to each. Full disclosure in itself, does not remove a conflict of interest.

 

As a volunteer of Volunteer Airdrie, I declare that, in carrying out my duties, I will:

  1. Certify that, to the best of my knowledge and judgment, I am not in a position of real, potential or apparent conflict of interest;
  2. Openly disclose any real, potential or perceived conflict of interest as soon as the issue arises;
  3. Abstain from participation in any discussion on the matter, and not attempt to personally influence the outcome of the matter;
  4. Inform Volunteer Airdrie of any real, potential or perceived conflict of interest on the part of a fellow volunteer;
  5. Immediately resign my position before submitting a tender or pursuing a contract or employment with Volunteer Airdrie; and
  6. Immediately resign my position as a volunteer of Volunteer Airdrie in the event that I, or the Board of Directors, have concluded that I have breached this Agreement.

 

If there is any question or doubt about the existence of a real or perceived conflict, the Board will determine by vote if a conflict exists. The person potentially in conflict must leave the meeting room for the duration of any such discussion or vote. The disclosure and decision as to whether a conflict exists shall be recorded in the minutes of the meeting. The time the person left and returned to the meeting shall also be recorded.

 

  1. Confidentiality

I hereby expressly agree to protect and maintain the confidentiality of any and all confidential and proprietary information and/or data of Volunteer Airdrie, and/or any or all of its parents, subsidiaries, successors, affiliates or related entities including but not limited to:

 

1)         Any or all program and marketing plans and budgets, personnel data, strategic plans, training methods and programs, personal and interpersonal dynamics of Volunteer Airdrie volunteers, legal issues, computer and software programs, and other MIS-related information, documentation, schematics, contracts, customer bases, non-public financial information, communications methodologies and programs, vendor information, Volunteer Airdrie decisions regarding environmental or other regulations and all plans or information relating to Volunteer Airdrie volunteers; 

2)         Any and all materials including, without limitation, documents, reports, proposed mailers, proposed billboards, other advertising information, trade secrets, know-how inventions, processes; 

3)         Any and all information regarding actual or projected products, prices, costs, expenses, business development, package design, real estate, and sourcing;

4)         Any and all communications between Volunteer Airdrie and me; and

5)         Any other Volunteer Airdrie non-public information of any kind.

 

I further agree that I will not use, copy, delete, destroy, modify or circulate confidential and proprietary information and/or data of Volunteer Airdrie in my possession, except for any purpose and with permission from Volunteer Airdrie may hereafter authorize in writing in advance.

 

I further agree that I will not publish (orally, electronically or in writing), copy or otherwise disclose any of Volunteer Airdrie confidential and proprietary information and/or data to any third party and that I will use my best efforts to prevent inadvertent disclosure to any third party. In this regard, I agree to return any and all materials furnished to or developed by me during the course of my involvement with Volunteer Airdrie, without right of retention of any copy.

 

I also agree that I will not in any way dispute or do anything to impair the validity of Volunteer Airdrie trademarks, copyrights or properties (including but not limited to Volunteer Airdrie well established trade dress) or Volunteer Airdrie sole ownership and right to use and control the use of its trademarks, copyrights, and properties.

 

I acknowledge that a breach of any of the terms of this Agreement by me or by others acting on my behalf, will be deemed a breach by me. I acknowledge that the breach of any of the provisions of this Agreement by me will cause Volunteer Airdrie to suffer irreparable injury for which recovery of monetary damages will be inadequate and, therefore, Volunteer Airdrie will be entitled to obtain timely injunctive relief to protect Volunteer Airdrie rights under this Agreement in addition to any and all additional remedies available at law. I agree to indemnify and hold Volunteer Airdrie harmless from and against all claims, damages, losses, costs, including but not limited to any and all attorney’s fees and liability arising out of or in any way connected with my breach of this Agreement.

 

All rights and restrictions contained herein may be exercised and shall be applicable and binding only to the extent they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid, or unenforceable. This Agreement is severable, and if any terms of this Agreement shall be held illegal, invalid, or unenforceable by a court of competent jurisdiction, it is the intention of Volunteer Airdrie and me that the remaining terms hereof shall constitute the parties’ agreement with respect to the subject matter hereof and all such remaining terms shall continue in full force and effect. I hereby expressly agree that this Agreement shall survive the termination of my involvement with Volunteer Airdrie for at least a period of five (5) years.
